History: From FINCA to Abhi

The bank was incorporated as a public limited company on 26 June 2008. It picked up its microfinance banking license from SBP on 12 August 2008, and its certificate of commencement of business from SECP on 4 September 2008 — confirmed by SBP on 27 October 2008. For most of its life it operated as FINCA Microfinance Bank Limited. Earlier company and press materials trace the network back to Kashf Microfinance Bank, though the Bank's own audited financials skip the Kashf name entirely and start the entity's history at its 2008 incorporation.

Under a Share Purchase Agreement signed 20 September 2024 with FINCA Microfinance Cooperatief U.A. — the then-majority shareholder — control and ownership passed jointly to Abhi (Private) Limited and TPL Corp Limited. The bank was rebranded Abhi Microfinance Bank Limited and its registered office moved to Plot No. 12, S.A. House, D-12 Markaz, Islamabad. As part of the deal, FINCA Microfinance Cooperatief U.A. also handed over Rs. 600 million to the Bank on 17 January 2025 as a non-repatriable capital contribution — no strings attached, no ongoing obligation back to FINCA.

Ownership: Who Owns Abhi Microfinance Bank?

As at 31 December 2025, the audited shareholding stood at 834,888,711 total ordinary shares: Abhi (Private) Limited held 591,149,827 (70.81%), TPL Corp Limited held 210,619,137 (25.23%), and Kashf Holdings (Private) Limited held 33,119,747 (3.97%) — a stake Kashf Holdings had kept unchanged since before the acquisition. That changed mid-2026: per a Share Purchase Agreement dated 8 June 2026, Abhi (Private) Limited and TPL Corp Limited jointly acquired Kashf Holdings' entire remaining stake — Abhi (Private) Limited taking 24,419,420 shares and TPL Corp Limited taking 8,700,327. The result: Abhi (Private) Limited's holding rose to 73.73%, TPL Corp Limited's rose to 26.27%, and the two now collectively hold 100% of the Bank's issued share capital. Abhi (Private) Limited is a Pakistani fintech founded in 2021 by Omair Muzzaffar Ansari (CEO) and Ali Muhammad Raza, built originally around Earned Wage Access, payroll, and SME financing. TPL Corp Limited is led by CEO Ali Jameel.

Financial Turnaround & Regulatory Standing

Before the acquisition, FY2024 closed with a loss after tax of Rs. 1,753.52 million. FY2025 audited results tell a different story: a profit after tax of Rs. 1,019.12 million, the bank's best year on record, with total assets nearly doubling from Rs. 40.35 billion to Rs. 77.07 billion and deposits climbing from Rs. 36.23 billion to Rs. 69.09 billion. Total income — net mark-up plus non-mark-up income — came in at Rs. 7.29 billion, up from Rs. 2.55 billion the year before.

Despite that profit, audited net equity was still negative — Rs. 397.35 million as at 31 December 2025, though that's an improvement from negative Rs. 4,029.87 million the year before. That's below the Rs. 1,000 million Minimum Capital Requirement, and the Capital Adequacy Ratio (CAR) stood at -20.28% against a required 15%. That combination is what triggered the auditor's "Material Uncertainty relating to Going Concern" paragraph, even though the opinion itself wasn't modified. By the unaudited quarter ended 31 March 2026, net equity had turned positive to Rs. 2,262.00 million — mostly because SBP allowed a Rs. 2 billion advance against share issuance to be classified within equity — though CAR was still below the regulatory minimum at -14.84%. Deposits stood at Rs. 69.22 billion and total assets at Rs. 80.55 billion as at that date, with 114 branches still running.
